Welcome to RentRight. These Terms of Service (“Terms”) govern your access to and use of the RentRight platform, website, and services (collectively, the “Service”) provided by RentRight LLC, a Washington limited liability company (“RentRight,” “we,” “us,” or “our”).

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Service.

2. Service Description and Important Disclaimers

2.1 Nature of Service

RentRight provides automated rent control compliance calculations and reporting tools designed to assist property management companies with rent control regulations. Our Service includes calculation tools, compliance reports, data management features, and related support services.

2.2 Not Legal Advice

IMPORTANT DISCLAIMER: RentRight is an informational and calculation tool only. Nothing contained in our Service constitutes legal advice, and no attorney-client relationship is formed through your use of our Service. We are not a law firm and do not provide legal services.

2.3 No Guarantee of Accuracy

While we strive to provide accurate calculations based on current regulations, we make no guarantees, warranties, or representations regarding the accuracy, completeness, or legal compliance of any calculations or reports generated by our Service. Rent control laws are complex, frequently changing, and subject to various interpretations.

YOU MUST INDEPENDENTLY VERIFY ALL CALCULATIONS AND ENSURE COMPLIANCE WITH APPLICABLE LAWS. You are solely responsible for confirming that any rent increases or compliance decisions meet all legal requirements in your jurisdiction.

2.4 User Responsibility for Compliance

You acknowledge and agree that:

• You are solely responsible for ensuring compliance with all applicable rent control laws and regulations
• You must verify all calculations independently before taking any action
• You should consult with qualified legal counsel for specific compliance questions
• RentRight cannot and does not guarantee that use of our Service will result in legal compliance

3. Account Registration and Security

3.1 Account Creation

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Requirements

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription and Payment Terms

4.1 Subscription Plans

RentRight offers the following subscription plans:

• Pro Plan: $29 per month or $290 per year (save $58 annually)
• Enterprise Plan: $199 per month or $1,990 per year (save $398 annually)

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. For monthly subscriptions, renewal occurs monthly. For annual subscriptions, renewal occurs yearly. You will be charged the then-current subscription rate.

4.4 Cancellation Policy

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods or unused time.

4.5 Price Changes

We reserve the right to modify subscription prices upon 30 days' notice. Price changes will take effect at your next renewal date. Continued use of the Service after price changes constitutes acceptance of the new pricing.

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for legitimate property management and rent control compliance purposes.

5.2 Prohibited Conduct

You agree NOT to:

• Provide false, inaccurate, or misleading information
• Use the Service for any illegal or unauthorized purpose
• Violate any local, state, or federal laws or regulations
• Attempt to bypass or manipulate calculation algorithms
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems or software to extract data without permission
• Transmit viruses or malicious code
• Interfere with or disrupt the Service or servers
• Impersonate another person or entity
• Share account credentials or allow unauthorized access
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without authorization

5.3 Data Input Accuracy

You are responsible for ensuring all data entered into our Service is accurate, complete, and current. Inaccurate data will result in incorrect calculations, for which we bear no responsibility.

6. Intellectual Property Rights

6.1 Our Property

The Service and its original content, features, and functionality are owned by RentRight LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.

6.3 Your Content

You retain ownership of data you input into our Service. By using our Service, you grant us a limited license to use, process, and display your data solely to provide the Service to you.

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RENTRIGHT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Compliance violations, fines, or penalties resulting from use of our Service
• Any damages exceeding the fees paid by you in the twelve months preceding the claim

This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

7.3 Essential Purpose

You acknowledge that these limitations are an essential element of the agreement between us and that we would not provide the Service without such limitations.

8. Indemnification

You agree to defend, indemnify, and hold harmless RentRight LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any compliance issues or legal violations related to your properties
• Inaccurate data you provide to the Service

9. Service Modifications and Availability

9.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

9.2 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

10. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

11. Termination

11.1 Termination Rights

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Upon your request

11.2 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in King County, Washington for the resolution of any disputes arising from these Terms or your use of the Service.

12.3 Informal Resolution

Before filing a legal claim, you agree to try to resolve any dispute informally by contacting us at lyle@rentright.io.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RentRight regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Notices

We may provide notices to you via the email address associated with your account or through the Service. You agree that electronic notices satisfy any legal requirement for written communication.

14. Updates to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
